Every company or organization has a governance structure or system in place, be they small firms, large firms, publicly traded companies, partnerships, non-profits, or government institutions. Based on what we have learned in class, your assignment is to review and evaluate the corporate governance of either your current company or a company that you would like to work for in the future.
Your introduction should include a description of your company: is it public/private/governmental/nonprofit? Also, other items that would affect governance such as size, complexity, scale (regional v. global), etc.
The body of your report should evaluate at least four different structures, practices, and/or issues that affect corporate governance at your chosen company. For example, you may choose to discuss some of the following:
- The structure of the board, its committees, and operating characteristics.
- The relationship between the board, the CEO and other executives in the firm.
- Compensation practices.
- Current news about the business that indicate presence or absence of agency costs.
- How authority and responsibilities for evaluating company performance, setting strategy, and managing the firm’s relationships with other companies and society are handled in the company.
- If your chosen company is not publicly traded, how their structure and governance needs differ from what we’ve discussed related to public companies.
- Another aspect of corporate governance at your chosen company.
Your conclusion should include an analysis of the governance strengths of your chosen company, as well as recommendations for improvement.
Your paper should be written following formatting and referencing guidelines. These are strictly applied in my evaluation of these reports. Styles other than APA will reduce your score. Additionally, all students are required to include a disclaimer at the end of the report, outlining the extent to which artificial intelligence (AI) tools or software, such as ChatGPT, were used in the preparation of the report. For example, you may include a statement such as:
- “This report was generated with the assistance of AI tools, which helped summarize the document/article and generate key points. I reviewed and edited the content as necessary and take full responsibility for the final report.”
- “AI was used to assist in proofreading and improving the clarity of this report. After using this tool, I reviewed and edited the content as necessary and take full responsibility for the final report.”
Please rest assured that your points will not be deducted simply because you use AI tools. The goal is to enhance transparency and uphold academic integrity.
Finally, your paper should be approximately 6 double-spaced pages, not including the cover page.
